Deal overview

Investor documentation indicates a total transaction size of €95 million. Approximately €60 million is primary capital flowing directly into Sdui, while around €32.6 million is secondary, providing liquidity to founders and early backers who sold shares. After closing, the new investor holds 25.46% of the company.

What Sdui offers

Sdui delivers a communications and operations platform for education. The product combines chat, videoconferencing, digital parent letters, and automatic translation into more than 32 languages. Beyond messaging, Sdui supports the digital organization of timetables, substitutions, class books, homework, and cloud storage — helping schools and childcare centers digitize daily workflows in a privacy‑first, GDPR‑compliant way.

According to investor circles, Sdui recently reached €16.5 million in annual recurring revenue, highlighting strong adoption across its core segments.

Strategic acquisitions

In July 2024, the Sdui Group acquired FoxEducation from GoStudent, Europe's largest tutoring provider. The acquisition covered the full FoxEducation platform and its established brands SchoolFox, KidsFox, and TeamFox. In parallel, Sdui raised an additional €21 million, with a significant share allocated to the acquisition.

Founding story and growth

Sdui GmbH was founded in early 2018 by Daniel Zacharias, who leads the group today, and Jan Micha Kroll. The company evolved from a simple substitution‑plan app into a comprehensive communications and operations platform for schools and childcare institutions.

The COVID‑19 pandemic significantly accelerated adoption as school closures drove demand for secure, reliable digital tools. Today, Sdui positions itself among the fastest‑growing edtech providers in Europe, serving over 22,000 institutions while keeping compliant digitization at the core.
